Dingell VA Medical Center. In 2019, 125 medical students would train at Henry Ford, which would increase to 150 in 2022, up from about 105 now. Graduate medical education overseen by WSU would continue to be based at DMC, where many Wayne State faculty members direct or teach in residency programs. But it is possible over time that Wayne State could phase out its sole-sponsored residency programs at other hospitals because Henry Ford already has those programs. Wayne State sponsors eight residency and two fellowship programs with 143 residents and two fellows. They include anesthesiology, dermatology, family medicine, otolaryngology, physical medicine and rehabilitation, urology and internal medicine. Henry Ford sponsors 66 residency programs across a broad spectrum of disciplines at its four teaching hospitals with 911 residents and fellows. The letter of intent clearly states that all undergraduate medical education would be administered by WSU and all clinical services directed by Henry Ford. While University Physicians Group, Wayne State's clinical practice group, would continue to contract with DMC for administrative and clinical services, medical faculty and some health professionals could be offered employment at Henry Ford Medical Group, a 1,300-physician group that directly employs medical staff and serves the six-hospital, 28-clinic Henry Ford network. It is not known how many of UPG's 261 remaining members would join Henry Ford Medical Group. Sources close to the negotiations expect it could be up to 50 during the first year from at least three departments. It is expected that the numbers would increase over time. The letter of intent specifies that Henry Ford and Wayne State would guarantee at least two years of compensation to doctors who make the switch from UPG during the transition period. If DMC approves, some Wayne State faculty members employed by Henry Ford Medical Group could also serve DMC, sources said. The union representing WSU faculty members and health professionals has expressed concerns about the affiliation, including not being brought into the talks and whether UPG might be merged into Henry Ford Medical Group, with members losing bargaining rights, said Charlie Parrish, president of AAUP-American Federation of Teachers Local 6075. "No one in the leadership of the Academic Senate was consulted, and this was not brought to the executive committee of the Academic Senate of the School of Medicine," Parrish said in an email to Crain's. "I was not asked what the union thought about how this might affect the terms and conditions of employment of members of our bargaining unit." But the letter of intent says nothing about a merger between UPG and HFMG. Sources tell Crain's Wayne State could not negotiate a merger of UPG because it is an independent 501(c)3, even though the chair of UPG is Jack Sobel, M.D., who is also dean of the WSU medical school. The UPG board members include faculty and community members. Parrish said he has spoken several times with Wilson about the affiliation and the need for the union members to be protected. He said he has received some answers, but more discussions are necessary before he will be comfortable with the outcome. "The union supports members of the WSU Board of Governors who oppose granting powers over the WSU School of Medicine that would compromise their constitutional responsibilities," Parrish said. "Given that, we support any agreement with HFHS that builds effectively on the strengths of both institutions." The letter of intent also would obligate Henry Ford and Wayne State to provide a $1 million grant to explore the feasibility of creating a school of public health. If approved, construction of a new school also would be contingent on a commitment by both to combine population health and health policy faculty and resources as a clinical institute under the new health sciences center. One source familiar with negiations suggested that the approximately 300 acres on the south campus of Henry Ford Hospital, off West Grand Boulevard and west of Woodward Avenue, potentially gives a Wayne State-Henry Ford organization land to build facilities for inpatient care, research and education. Henry Ford has strategic plans for a $500 million south campus health and community project. The letter of intent also calls for unspecified capital expenditures by the two partners. For example, a second research building previously has been discussed. In 2016, WSU opened a $90 million, 200,000-square-foot iBio research building next to Henry Ford's corporate headquarters at One Ford Place. Another possible new building could include a "Wayne State University Health Sciences Quad at Henry Ford" across from Henry Ford Hospital, according to WSU affiliation documents. Henry Ford, WSU funding contributions An initial $10 million "good faith" investment each by Henry Ford and Wayne State would pay for startup costs of the health sciences center, including the three to five institutes, research and administration operating budgets. HFHS would make annual academic support payments to WSU. The initial amount is expected to be about $5.5 million, which would be equivalent to the so-called "dean's tax" paid to the medical school from its clinical service groups. Three other unspecified annual payments would be made to Wayne State from Henry Ford that would cover primary institution affiliate payments, annual branding and marketing payments to make use of the Wayne State name and annual shared incentive payments to WSU for investment in basic sciences and strategic academic priorities. The annual payments would be based on achieving key performance indicators, which includes hitting net revenue growth targets for the health sciences center. Sources said these payments by Henry Ford are intended to partially replace clinical, educational and research payments previously made by DMC to support WSU's mission over the years that have been scaled back. Based on various contracts over the past 12 years, DMC has cut annual payments to WSU by about $58 million since 2006. "The cumulative impact of these reductions over the last 12 years equals $321 million in 2006 dollars," according to a Feb. 22 memo from health care consultant Dwight Monson to Wilson. "WSU (also) has absorbed a substantial reduction in state appropriations since 2010, further compromising the medical school's ability to subsidize its academic mission." Monson, who was hired by Wayne State to work on the affiliation with HFHS and turn around the medical school, said that without additional financial investment from a clinical partner, WSU's ability to continue its educational and research mission "will be substantially at risk." He said revenue required from clinical operations to support medical schools has tripled over the last 30 years, said a report by the Association of American Medical Colleges. Over the past decade, the relationship and funding from DMC to WSU has deteriorated for a variety of reasons. When it was a nonprofit until 2011, DMC was financially struggling and unable to make sufficient payments to WSU to support research and educational needs. After it was sold to Vanguard Health Systems in 2011 and later to Tenet Healthcare Corp in 2014, funding continued to drop as priorities changed. For example, WSU received about $88 million from DMC in 2006 for clinical and administrative services. By 2017, DMC's payments to WSU totaled about $30 million, a $58 million drop. DMC officials did not respond to an interview request. Experts say the drop in funding led to problems within the medical school that contributed to the school's accreditation probation in 2015, and was one of the factors that led UPG to lose more than $30 million on its way to a bankruptcy filing last September. However, Wayne State officials have told Crain's that mismanagement at the medical school and practice plan over the years also contributed to the losses and problems with accreditation. Despite the internal problems at Wayne State, WSU officials in early 2016 concluded that after four months of serious affiliation talks with DMC's former CEO Joe Mullany that Tenet did not have the will to forge a transformational agreement that would require WSU to improve management but also DMC to increase education and research funding. Wilson said Wayne State needs a strong hospital partner that believes in research and education because it is key to a medical school's survival in the 21st century. "All medical schools, particularly those that have a research component to it, have to find some way to fund that research. Typically, medical schools do it through clinical dollars, practice plans and hospitals and a combination of of the two," Wilson said. "There always is some subsidization. Absent of that, the university has to subsidize it. We have, but we can't afford to continue to do that." Wilson said the affiliation with Henry Ford would give Wayne State an ability to build programs of excellence, invest in academics and research and build a brighter future for the university, Detroit and Michigan. Last month, 13 medical school leaders wrote a letter to Wilson expressing support for the Henry Ford affiliation and the necessity for a good relationship and continued contracting with DMC. "The (medical school) clinical faculty based at the Detroit Medical Center are essential to the university's research and educational missions," the WSU doctors said. "As importantly, they are critical to the health of the Detroit community, especially its most vulnerable populations. "However, it is important to acknowledge that the DMC-based clinical faculty cannot support the medical school's teaching mission nor its financial needs in isolation. The (medical school) needs a health system partner willing to provide appropriate financial support and to maintain a stable complement of teaching sites for our medical students." Clinical institutes The partnership would create three clinical institutes under the joint health sciences center: heart and vascular, oncology and neurosciences. A fourth and fifth institute, eye and public health, have been discussed, but a funding plan hasn't yet been developed. Philanthropic support and naming rights of $20 million to $30 million would be needed to fund an eye institute and possibly a new building, sources said. One of the more interesting institutes under the health sciences center would be oncology. Henry Ford already has invested millions of dollars in oncology and creating a so-called "destination site" program that draws patients from more than 100 miles away. Henry Ford also is building a six-story outpatient center, the Brigitte Harris Cancer Pavilion at its Midtown campus off West Grand Avenue, that is expected to open in 2020. But the letter of intent envisions a much expanded Henry Ford Cancer Institute service line by potentially creating a multifacility cancer consortium with Karmanos Cancer Institute, which is an academic affiliate of Wayne State, and the federally funded Perinatal Research Branch, which is on the DMC campus and administered by Wayne State. However, Karmanos is owned by 14-hospital McLaren Health Care Corp, which is not currently part of the affiliation talks and would need to sign on to a cancer consortium. Karmanos also is one of 39 National Cancer Center Institute-designated comprehensive cancer centers. WSU is the center's fiscal agent. Sources tell Crain's that a consortium to extend the federal contract to Henry Ford makes sense for Karmanos, as the institute cares for more than 6,000 new patients annually on a budget of $200 million as well as conducting more than 400 cancer-specific scientific investigation programs and clinical trials. The PRB is a federally funded research program designed to study ways to reduce infant mortality rates. The PRB is designed to study high-risk newborns to reduce infant mortality rates, which are higher than national averages in Detroit. Housed at DMC Hutzel Women's hospital, the PRB is in the seventh of a 10-year federal contract with Wayne State. It also takes care of 4,500 newborns. With Henry Ford Hospital's 4,200 births, the larger number of newborns and different populations of women at the two hospitals could benefit from the joint perinatal research, Wayne officials have said. Along with oncology and neuroscience, the proposed heart and vascular institute also could add revenue to Henry Ford and Wayne State in the research and clinical service areas. Sources told Crain's WSU and HFHS were developing a plan in the definitive agreement to spend about $100 million over multiple years to recruit superstar cardiologists and heart surgeons to expand clinical services and research. Over the years, DMC's recruiting of Wayne State's faculty cardiologists and the dismantling of the medical school's cardiology department has left the university short-handed, sources said. "Henry Ford has very interesting research in cardiology" and with Wayne State can "greatly enhance heart services" in Southeast Michigan, said a source familiar with the situation. Benefits from the affiliation? Sources said WSU consultants have projected the combined enterprise could generate an additional $200 million in additional revenue for the two partners in additional outpatient and inpatient billing, enhanced Medicaid payments and additional research and graduate medical education funding, according to a Crain's story in May 2018 about the negotiations. By combining research programs, the virtual health sciences center could total more than $341 million, increasing Wayne State and Henry Ford's ranking in research dollars to at least 74th, up from 100th as measured by the National Science Foundation. Sources project those research dollars could double over 20 years through recruiting and combined programs. Currently, WSU has a $247 million research portfolio and Henry Ford has a $94 million research department. The University of Michigan is ranked second in the nation with $1.4 billion and Johns Hopkins University first with $2.3 billion. Henry Ford also is banking that the partnership with Wayne State will pay dividends down the road. But experts say its investments and expanded relationship with Wayne State could be risky because creating an academic medical center isn't the highly profitable enterprise it used to be with rising expenses and at-risk revenue models. Besides substantial financial investments, Henry Ford is concerned about hurting its relationship with DMC Children's Hospital, which it has had a long-standing relationship with after it closed its own pediatric department more than 20 years ago. In fact, pediatrics, which were originally part of the discussions, has been put on hold in the letter of intent. After losing $12 million in 2013, Henry Ford in recent years has improved its financial standing and holds a stable A3 credit rating from Moody's Investor Services. But for a nearly $6 billion company, Henry Ford's operating margins before interest, taxes, depreciation and amortization are still well below what they should be for a system of its size and market share, financial experts tell Crain's. Over the past five years years, Henry Ford has recorded about 2 percent operating profit margins and about 6 percent margins on earnings before interest, taxes, depreciation and amortization. That is just enough to maintain current operations and necessary capital expenses, hospital financial experts said. Typically, 4 percent operating margins and 8 to 10 percent EBITDA margins are needed over the long haul for an A-rated company. But sources said Henry Ford executives hope the new health sciences center and affiliation with WSU will generate additional revenue and research that will help increase profitability for Henry Ford and help fund WSU's educational programs. Even without the affiliation, Henry Ford has begun to develop plans to improve its cash and profitability positions, sources said. However, if the affiliation with Henry Ford goes down in flames, Wilson said WSU will try to make the best of a bad situation. He said it doesn't appear WSU can work out a solution with DMC, which as a for-profit hospital, has different priorities. "Ultimately, it is going to mean the university will continue to subsidize" the school of medicine, Wilson said. "Some people are hopeful the state would come in and buy DMC, but the state not in that position, and I don't think owning a safety-net hospital is the best investment at this time." Legal structure for transformational agreement Two health care attorneys familiar with the WSU-HFHS affiliation talks who asked for anonymity agreed that the LLC-joint holding company format plus reserved powers clearly spelled out would not infringe on parent control or authority of the larger enterprise, concerns that several WSU board members have expressed. "The reserved versus delegated powers are spelled out very carefully. Because you have two different entities, a non-profit and a government entity you need some structure to invest funds," one of the legal sources said. "The parties intend to put capital into the venture to generate a greater combined research enterprise and to enhance clinical institutes." The legal source said the affiliation could create a joint venture, a simple agreement with no structure to hold the various activities, or a master affiliation agreement as the agreement last year between the University of Rutgers and RWJ Barnabas Health used. Last summer, RWJ Barnabas Health agreed to invest more than $1 billion in medical research and education at Rutgers Health Sciences over the next 20 years to create New Jersey's largest academic health system with 11 hospitals, a 1,200-student medical school and more than $150 million in research. Like the goals of the similar public-private partnership between Rutgers and RWJBarnabas, officials of Wayne State and Henry Ford hope their partnership can open up new options for care and treatment for metro Detroit residents and those in Michigan and the Upper Midwest, rivaling the Cleveland and Mayo clinics. The partners chose the LLC structure over three other possible models because of the need to make large financial contributions into the health sciences center and joint operating board and to protect individual assets from liabilities due to the joint activities of the partners. The LLC structure is available in Michigan for charitable purposes of government and nonprofit organization activities. Other structures considered include individual contracts or agreements, similar to a joint venture, without a separate governing or advisory board; a joint venture with a joint governing board; and creation of a new nonprofit corporation with the parties as members or shareholders. "It gives you the most flexibility to compartmentalize investments and track them," said another source. "It is the most sustainable glue that (helps management the entity) for a longer period of time." Sources said the health sciences center-LLC model is considered to be just enough structure to manage additional investments, research and clinical services without having to create a new corporate entity with additional reporting requirements. The LLC also would be treated by the IRS as a nonprofit corporation. Wilson said the LLC model is the best for both health organizations. "It's not the only model. We will pursue other models if people want. The important thing is we want a transformative relationship with a health sciences model. It is the future of health care and the best model for the 21st century," he said.
